12.2 The risk in the goods and all insurance responsibility for theft, damage or otherwise in respect of the goods will, unless agreed in writing to the contrary, pass to the Customer upon delivery to the Customer.

12.3 If any of the Goods are damaged or destroyed following delivery but prior to ownership passing to the Customer, D&S RESOURCES is entitled to receive all insurance proceeds payable for the Goods. The production of these terms and conditions by D&S RESOURCES is sufficient evidence of D&S RESOURCES’s rights to receive the insurance proceeds without the need for any person dealing with D&S RESOURCES to make further enquiries.

12.4 If the Customer requests D&S RESOURCES to leave Goods outside D&S RESOURCES’s premises for collection or to deliver the Goods to an unattended location, then such Goods shall be left at the Customer’s sole risk.

12.5 Where the Customer has supplied materials for D&S RESOURCES to complete the works, the Customer acknowledges that they accept responsibility for the suitability of purpose, quality and any faults inherent in the materials. D&S RESOURCES shall not be responsible for any defects in the works, any loss or damage to the materials (or any part thereof), howsoever arising from the use of materials supplied by the Customer.

12.6 Whilst all due care will be taken in respect to any technical specification such as drawings, sketches, manuals, a hard copy and/or electronic format as digital data provided to D&S RESOURCES prior to commencement of Customer work; no liability will be accepted by D&S RESOURCES for damage to the goods, rework or any other part of the scope of work being carried out as a result of inaccurate, incorrect or substandard technical data being provided by the Customer.

12.7 Where D&S RESOURCES gives advice or recommendations to the Customer, or the Customer’s agent, regarding the suitability of the worksite or similar works and such advice or recommendations are not acted upon then D&S RESOURCES shall require the Customer or their agent to authorise commencement of the works in writing. D&S RESOURCES shall not be liable in any way whatsoever for any damages or losses that occur after any subsequent commencement of the works.

12.8 The Customer agrees that D&S RESOURCES will have no liability in tort or otherwise for any personal injuries or in respect of delivery or any subsequent use of the goods.

  1. Limited Warranty

13.1 The Customer must inspect and check all goods received as soon as practicable upon unloading. To the extent permitted by law, no claim by the Customer for shortage of goods may be made unless such claim is notified to D&S RESOURCES within 48 hours of receipt. Any such claims will be subject to the D&S RESOURCES’s approval.

13.2 A warranty claim is only payable when a settlement agreement is signed and sealed by both Customer and D&S RESOURCES.

13.3 Unless otherwise agreed to in writing, all goods will be supplied and delivered in accordance with D&S RESOURCES’s standard practice and shall be subject to D&S RESOURCES’s normal tolerances, limitations and variations of the following: dimensions, weight, shape, composition, mechanical properties, structure, quality and service conditions.

13.4 Any statements made by D&S RESOURCES as to weight, length, quantity or other characteristics of goods are approximate and D&S RESOURCES may supply goods on an actual or calculated basis (calculated in accordance with applicable Australian standards).

13.5 D&S RESOURCES’s statement as to weight, length, quality or other characteristic are final (in the absence of manifest error) and will not be contested by the Customer unless the Customer has given D&S RESOURCES written notice of any error within 14 days of delivery and a reasonable opportunity to examine and re-test the goods before they are used or dealt with.

(b) the Customer has met all of its other obligations to D&S RESOURCES.

(c) Receipt by D&S RESOURCES of any form of payment other than cash shall not be deemed to be payment until that form of payment has been honoured, cleared or recognised.

14.2 It is further agreed that:

(a) until ownership of the Goods passes to the Customer in accordance with clause 14.1 that the Customer is only a bailee of the Goods and must return the Goods to D&S RESOURCES on request.

(b) the Customer holds the benefit of the Customer’s insurance of the Goods on trust for D&S RESOURCES and must pay to D&S RESOURCES the proceeds of any insurance in the event of the Goods being lost, damaged or destroyed.

(c) the Customer must not sell, dispose, or otherwise part with possession of the Goods other than in the ordinary course of business and for market value. If the Customer sells, disposes or parts with possession of the Goods then the Customer must hold the proceeds of any such act on trust for D&S RESOURCES and must pay or deliver the proceeds to D&S RESOURCES on demand.

(d) the Customer irrevocably authorises D&S RESOURCES to enter any premises where D&S RESOURCES believes the Goods are kept and recover possession of the Goods. D&S RESOURCES may do so, even if the goods are incorporated into another product or item which does not belong to D&S RESOURCES, but they can be removed without damage to the product or item.

(e) D&S RESOURCES may recover possession of any Goods in transit whether or not delivery has occurred.

(f) the Customer shall not charge or grant an encumbrance over the Goods nor grant nor otherwise give away any interest in the Goods while they remain the property of D&S RESOURCES.

(g) D&S RESOURCES may commence proceedings to recover the Price of the Goods sold notwithstanding that ownership of the Goods have not passed to the Customer.

D&S RESOURCES may exercise its powers even if this involves a conflict of duty and even if it has a personal interest in doing so. A third party may rely on a copy of the Conditions certified by a solicitor as evidence of the appointment of D&S RESOURCES as the attorney of the Customer. The Customer must ratify all acts and things done by D&S RESOURCES and its authorised officers in the exercise of this power of attorney.
